Baotris, Inc. DBA PlayAbly (“Sponsor”) is offering the “WinBack” Promotion (“Promotion”) beginning at 12:00:00 AM PST on December 11, 2025, and ending on 11:59:59 PM PST on December 19, 2025(the “Promotion Period”).

Promotion is open only to legal residents of the United States who are 18 years of age or older as of the date of entry. The following persons are not eligible to participate in the Promotion: Sponsor; any of Sponsor’s parents, subsidiaries, affiliates, or advertising and promotion agencies; and any employee, officer, director, representative or agent of any of the foregoing persons and the immediate family members (spouses and siblings, children and parents and their spouses, regardless of where they live) or members of the same households (whether related or not) of such individuals. Void where prohibited or restricted by law. Sponsor may verify eligibility at any time. Sponsor will make any determinations of eligibility. Sponsor’s decision as to eligibility is final.

Eligible customers can enter the Promotion in the following ways:

Entry Method 1 – Conditional Rebate Promotion (Buckle Me Coats Purchase)

Purchase any Buckle Me Coats product (the “Eligible Product”), exclusive of taxes, fees, and shipping charges, on Buckle Me Coats during the Promotion Period (“Qualifying Purchase”).

If the Conditional Event occurs (defined below), all customers who made a Qualifying Purchase are entitled to a full refund of the purchase price paid for the Eligible Product purchased during the Promotion Period (“Rebate”) by following the Rebate terms in Section 4 below.

• Conditional Event: There is more than 3 inches of snow in New York City as confirmed by the National Weather Service official records from JFK Airport on December 25, 2025
  

If the Conditional Event occurs, all Qualifying Purchases are eligible for a full refund as described above. If the Conditional Event does not occur, no Rebates will be awarded. Limit one (1) Rebate per person/per household for eligible purchases.

Products purchased during the Promotion Period are not eligible for a refund unless the refund is requested prior to the occurrence of the Conditional Event. Any refund requested before the Conditional Event will no longer qualify for a Rebate. Following the Conditional Event, customers will not be entitled to a refund and may only request an exchange, which shall be granted at the Sponsor’s sole discretion.

If the Conditional Event occurs, one (1) winner will be randomly selected from all eligible mail-in entries to receive one (1) Sponsor Gift Card of $100 (see Mail-In Entry Prize Details below). If the Conditional Event does not occur, no mail-in entry drawing will be conducted.

No purchase necessary to enter or win. Mail-in entry postcard and/or envelope must be written by the eligible customer only. Eligible customers are not permitted to use any third-party service to assist with the entry process in any way (as determined by the Sponsor). Each postcard or envelope must be mailed individually. Bulk shipment of mail-in entries will not be accepted. Limit one (1) mail-in entry per person/per household.

Limit one (1) entry per person/household. Customers who make Qualifying Purchases are not eligible for mail-in entry. Mail-in entrants are not eligible for purchase-based Rebates.

Eligible purchases and/or mail-in postcards must be completed, postmarked, and received by Sponsor no later than 11:59:59 PM PST on December 19, 2025. Any attempt by a person to use multiple identities, fraudulent transactions, cancelled transactions, or any kind of bot or automated mechanisms to gain more mail-in entries or Rebates than permitted by these Promotion terms shall result in disqualification in Sponsor’s sole discretion. By participating, eligible customers warrant and represent that they agree to be bound by these terms and the final decisions of the Sponsor. Sponsor reserves the right to disqualify customers suspected in participating in the activities defined above, or any kind of tampering with the Promotion process. Entry information becomes the exclusive property of Sponsor upon submission. Proof of submission of entry does not constitute proof of receipt of entry. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her telephone number during the Promotion.

If the Conditional Event occurs, Sponsor will send an email to the address associated with the Qualifying Purchase containing a link to a Typeform® to collect the information necessary to process the Rebate, including the customer’s Venmo or PayPal account name and number. To claim the Rebate, customers must complete and submit the Typeform® within forty-five (45) days of the email delivery date.

Customers are solely responsible for completing all required forms accurately and providing all information and documentation requested by Sponsor, which may include proof of purchase, proof of identity, age verification, and/or proof of legal residence. Failure to timely or fully submit the required information or documentation will result in forfeiture of the Rebate. Customers are solely responsible for any and all taxes arising from or related to the Rebate and may be required to complete, electronically sign, and submit an IRS Form W-9 or other tax documentation as required by law. Where permitted by law, customers who receive a Rebate grant Sponsor the right to use winner’s name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation.

Sponsor is not responsible for any errors, omissions, or delays in communication or transmission, including but not limited to incorrect or incomplete email addresses, spam filters, network issues, or other delivery problems beyond Sponsor’s reasonable control. Rebate payments will be processed within thirty (30) days following Sponsor’s receipt and verification of all required materials.

Sponsor may disqualify any customer from the Conditional Rebate program in its sole discretion if: (a) they fail to provide any required information or documents within the required time period; (b) they fail to comply with any of these Promotion terms.

Within seven (7) days of the Conditional Event, Sponsor will select one (1) mail-in entry winner by way of a random number generator from among all eligible entries received. Odds of winning the mail-in prize depend on the number of eligible entries received and occurrence of the Conditional Event.

If the Conditional Event occurs, one (1) mail-in winner will receive a Buckle Me Coats Gift Card valued at $100 (collectively, the “Prize”). The Prize will be procured, administered, and distributed by Sponsor in the following manner: If the Conditional Event occurs, the gift card will be provided via email and usable only at Buckle Me Coats’s online store (subject to Sponsor’s designation). Gift card terms apply; not redeemable for cash except as required by law. The winner will not receive cash value or any other form of compensation. No prize transfer. No other prize substitution, except at Sponsor’s sole discretion due to unavailability, in which case a prize of comparable or greater value will be awarded.

All taxes (including without limitation Federal, state and local taxes) in connection with the Prize, and the reporting consequence thereof, are the sole responsibility of the winner. Prize winner may be required to sign and return an IRS W-9 form within the time period specified by Sponsor, and such winner will receive an IRS Form 1099 issued in his/her name for the actual value of prizes received if required by law. Sponsor has not made nor is in any manner responsible for any warranty, representation, or guarantee relative to the Prize, including but not limited to its quality, mechanical condition, or fitness for a particular purpose. Sponsor is not responsible for any and all activities in connection with participation in the mail-in entry methods and/or acceptance and fulfillment of the Prize, including but not limited to, any medical illness, personal injury, misuse injury, losses, exposure to COVID-19, or damages in connection with the Prize or potential winner’s usage of the Prize following delivery.

The potential mail-in entry winner will be notified by email within ten (10) days of the Conditional Event, to verify his/her eligibility and ability to accept the Prize. If such a potential winner is not available or if there is no answer at the time any email is sent, a phone call will be made and a voice message will be left, if possible. Any such email, phone call, or voice message will instruct the potential winner to call a specified telephone number or reply by email within seven (7) days (measured in the local time zone) after the time that the notification message was left.

Potential winner may be required to complete, electronically sign, and submit an Affidavit of Eligibility and IRS form W9 (if required by law) within seven (7) days of the date notice or attempted notice is sent, in order to claim his/her prize. Potential winner may also be required to reply as instructed to identify him/herself, confirm his/her eligibility and ability to accept the Prize, and provide his/her complete contact information within such time period, or he/she will be disqualified.

In Sponsor’s sole discretion, a potential winner may only be notified one time as set forth above for attempted prize notification. If the potential winner does not respond within the seven (7) day time period, Sponsor reserves the right to award the Prize to another potential winner by way of another random drawing. The winner agrees that by accepting the prize, the Sponsor reserves the right to use the winner’s likeness for marketing purposes without further compensation.

Proof of identity, age, and legal residence may be required to claim the Prize. Any winner or potential winner may be disqualified in Sponsor’s sole discretion if: (a) he/she fails to provide any required information or properly completed documents within the required time period; (b) he/she fails to comply with any of the terms of these Official Rules; or (c) if any Prize or prize notification is returned as undeliverable, any voicemail or email message is not timely returned, or any forms sent to potential winner are not timely returned as instructed.

In the event of disqualification of a winner or potential winner, at Sponsor’s sole discretion the Prize may be awarded to an alternate winner (or runner up) selected from among the remaining applicable eligible entries via the means of winner determination described herein, pending verification of eligibility. All prizes will be awarded.

No responsibility is assumed by Sponsor for any incorrect or missing postal address, email address or phone number associated with an entry, or any change of address, email or phone number of entrants after entry submission. Sponsor will hold all winning entries for at least sixty (60) days following the completion of the Promotion.

Where permitted by law, winner grants Sponsor the right to use winner’s name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation.

By participating, eligible customers and mail-in entrants warrant and represent that they agree to be bound by these Promotion terms and the final decisions of the Sponsor. Eligible customers further grant Sponsor and its affiliates and sublicensees the right to use the name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation.

Sponsor, Facebook, Instagram, TikTok, Buckle Me Coats, their parents, subsidiaries, affiliates, advertising and promotion agencies, or any wholesalers, retailers, importers, or distributors together with the employees, officers, directors, and agents of each (aforementioned individuals and organizations collectively, the “Releasees”) are not responsible and shall not be liable for: [a] failures or malfunctions of phones (including wireless phones/handsets), phone lines or telephone systems or other communications malfunctions; cellular equipment towers, telephone systems or wireless services; [b] interrupted or unavailable network, server or other connections including those through and/or by the Promotion Page; [c] electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of entries; [d] failed, garbled, lost, misrouted or scrambled transmissions; [e] any error, omission, interruption, defect or delay in any transmission or communication or other errors or problems of any kind whether mechanical, human, technical, electronic, cellular telephone related or otherwise; [f] traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to customer's or any other person's computer or wireless phone/handset related to or resulting from participation in this Promotion; [g] late, lost, incomplete, damaged, or misdirected entries, email messages, or postage-due mail; [h] any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted; or [i] printing errors in Promotion / advertising materials.

By entering and participating, customers agree to: [a] abide by these Promotion terms and by the decisions of Sponsor, whose decisions are final and binding on all matters pertaining to this Promotion; [b] the use of their names, photographs, testimonials or other likeness and/or personal exposition (and/or any edited portion thereof) by Sponsor and its designee(s) for promotional, advertising and/or publicity purposes in any media, now or hereafter known throughout the universe in perpetuity, including but not limited to the posting of their names on the Promotion Page, without compensation or notice to, or further consent of, the customer to the extent permitted by law; and [c] to release, discharge and hold harmless the Releasees from any and all injuries, liability, losses and damages of any kind resulting from their participation in the Promotion or their acceptance of the Rebate or Prize. Failure to comply with the Promotion terms may result in disqualification at Sponsor’s sole discretion. All federal, state and local laws and regulations apply.

CAUTION: ANY ATTEMPT BY AN ELIGIBLE CUSTOMER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CUSTOMER TO THE FULLEST EXTENT PERMITTED BY LAW.

Internet entry must be made by the entrant only at the authorized Promotion Page https://playably.ai/ and/or through the methods listed above. Entry into the Promotion may not be made by any other individual or any entity, and/or originate at any unauthorized Internet web site or email address and/or entering service sites. Any eligible customer who entered by any of the prohibited methods described above will be disqualified.

In the event of a dispute regarding the identity of an eligible customer, the purchase and/or Rebate will be deemed to be submitted by the “authorized account holder” associated with the email account recorded in connection with the purchase or mail-in postcard. Customer may be required to provide evidence (to the Sponsor’s satisfaction) that they are the authorized account holder of the email address associated with the purchase and/or Rebate. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. In the event a dispute regarding cannot be resolved to Sponsor's satisfaction, the affected purchase and/or Rebate will be deemed ineligible.

Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or any associated website; to be acting in violation of the Promotion terms; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

If, for any reason, the Promotion cannot operate as planned due to factors such as computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, strikes, market conditions, bankruptcy or liquidation, changes in law, or any other cause that, in Sponsor’s sole opinion, affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, or suspend all or part of the Promotion. In such an event, Sponsor may (i) select the winner(s) from among all eligible, non-suspect entries received prior to the action taken, or (ii) proceed in any manner deemed fair and equitable in Sponsor’s sole discretion.

IN NO EVENT WILL SPONSOR, FACEBOOK, INSTAGRAM, TIK TOK, BUCKLE ME COATS, THEIR LICENSEES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE PROMOTION PAGE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE PROMOTION PAGE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE PROMOTION PAGE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. Except where prohibited, each customer agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any Rebate or Prize shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Washington. All issues and questions concerning the construction, validity, interpretation and enforceability of these Promotion terms, customer’s rights and obligations, or the rights and obligations of Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Washington, without giving effect to any choice of law or conflict of law rules (whether of the State of Washington or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Washington. Under no circumstances will customer be permitted to obtain awards for, and waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, and customer further waives all rights to have damages multiplied or increased.

If any provision of these Promotion terms is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Promotion terms and shall not affect the validity and enforceability of any remaining provisions. Headings and captions are used in these Promotion terms solely for convenience of reference and shall not be deemed to affect in any manner the meaning or intent of these Promotion terms or any provision hereof.
